Incorporations

As an attorney, I regularly prepare incorporations for individuals and small businesses. This is usually a simple, straight-forward process of registration and completion of necessary forms. I usually handle incorporations based on a flat fee.

There are many different types of corporations, however, the type most often requested is a Sub "S" corporation, which involves the issuance of stock certificates along with Articles and By-laws, clearly delineating the stockholders' involvement in the corporation. This is the most popular form of corporation.

The Limited Liability Corporation (LLC) differs from the Sub "S" in that there are no shares of stock issued and corporate responsibility is handled by managers, with their specific duties being set forth in the By-laws.

The reason most people incorporate is to shield themselves from liability. Both types of corporations, if properly done, offer this protection. While your lawyer should establish your incorporation for you, you should discuss the tax consequences of incorporations with your accountant before you commit to a particular type of incorporation.
